What it would sell for? Difficult question, depends a lot on the assumptions I mentioned earlier.
However, you asked for a price, so if I were selling it:
If running, and being unable to examine it, with no jewelers certificate indicating shape and details, I would be disappointed to see it sell for less than $150 myself. I would expect it to go for closer to $200.
As mentioned though, if you get the other details sorted out and some provenance with it, it could go significantly higher.

Waltham Pocket Watches are probably the most common ones we see here. They are from an American Watch making company that made the first attempt to produce a watch that was more readily purchasable by the 'common man'. Unfortunately they were plagued by a number of issues and never really were totally successful, eventually being sold at a sheriff's auction. You should also show more of the watch chain as that has value too. We can't see enough to comment on it here though.
Your serial number you give equates to a bit earlier than you indicated, it's about 1898 vintage! You also have a blank shield on the back that typically is used to engrave the owner's initials. Being blank it's worth a bit more than one which is engraved. Your's appears to be a higher end standard model and does appear to have a signature but I can't make it out.
It looks to be about 17 jewels, check for marking please, with an open face gold filled (read plated!) back. The decorative gold ring inside adds to the value, indicating it was more of a 'show watch' than a 'workman's watch' (which typically had the extra ring of numbers around the outside edge 1 thru 60 for the minute hand.
So we have a common pocket watch which is one of their 'mid range' fancy designs. It's open face (closed is worth more) but the second hand appears to be intact and it appears to be in good shape. Gold filled with gold face design but standard face character set and no minute marks (again indicating show watch).
Assuming it's functional and making assumptions about the rest of the quality (ie. it should say if it's 10 or 16 K gold, how many jewels, a signature tells which maker was involve -remember the company history!) It should be insured, I believe, for between $200 and $600. There are a lot of conservative (I believe) assumptions here though, so the price might go higher or lower depending on exact details, probably towards the higher mark though.
Walthams sell for $20 to $4k depending on the style/model/construction etc. You do have a nice one!
